End User License Agreement (EULA)

This End User License Agreement (“Agreement”) is between MENiAC Oy (“MENiAC”, “Licensor”) and you (“Licensee”). It governs use of MENiAC software obtained through a valid purchase or authorized trial. Purchasing or installing the software means you accept this Agreement and our Terms of Sale.

1. Licensed products

This Agreement applies to:

  • MENiAC Air — HTML-to-SDI/NDI playout software;
  • IonFrame — online HTML animation editor;
  • MENiAC's 3D Template — SPX 3D layer template and related assets.

2. License grant

Subject to payment of applicable fees and compliance with this Agreement, MENiAC grants you a limited, non-exclusive, non-transferable, revocable license to use the software for your own internal business or personal broadcast/production purposes.

  • Subscriptions (IonFrame, MENiAC Air) — license is valid while the subscription is active and in good standing.
  • One-time purchases (3D Template) — license continues for the purchased version while MENiAC provides access through your account.
  • MENiAC Air — each paid seat allows activation on one machine at a time as enforced by the license portal; release a machine before activating another.

3. Restrictions

You may not, and may not permit others to:

  • copy, resell, rent, lease, or sublicense the software except as expressly allowed;
  • reverse engineer, decompile, or disassemble the software except where law permits;
  • remove or alter copyright, trademark, or license notices;
  • use the software to build a competing product or service;
  • circumvent license, activation, or seat limits;
  • share account credentials or license files outside your organization.

4. Trials and evaluation

Free trials and beta access are provided “as is” for evaluation only. MENiAC may modify, limit, or withdraw trial access at any time. Trial terms do not convert to paid terms until you complete a purchase.

5. Updates and support

MENiAC may provide updates, bug fixes, or new versions at its discretion. Unless required by law or a separate written agreement, we have no obligation to provide support, maintenance, or future compatibility with third-party hardware or software.

6. Termination

This license ends when your subscription expires or is cancelled, when a one-time entitlement is revoked for breach, or when you violate this Agreement. On termination you must stop using the software and delete copies in your possession. Sections that by nature should survive (restrictions, disclaimers, liability limits) remain in effect.

7. Disclaimer of warranties

The software is provided “as is” and “as available”. To the fullest extent permitted by law, MENiAC disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation or compatibility with every system configuration.

8. Limitation of liability

To the fullest extent permitted by law, MENiAC's total liability for any claim relating to the software or this Agreement is limited to the amount you paid to MENiAC for the product in the twelve (12) months before the claim. MENiAC is not liable for indirect, incidental, special, consequential, or punitive damages, loss of profits, data, or broadcast downtime.

9. Governing law

This Agreement is governed by the laws of Finland, excluding conflict-of-law rules. Disputes shall be resolved in the courts of Finland, with Helsinki as the preferred venue where permitted.
